Biggest shareholder plus other shareholder have 51% of the 20,000,000 shares. Biggest shareholder and minor shareholder from other side have an agreement to vote for each other to cause each to be elected to a Director Board. Voting is Cumulative - meaning 1 share equals 5 votes (theoretically 1 vote per Director), but all 5 votes can be put on one Director candidate or spread. Their are 8 candidates, each side want 3 Director to control the Board.

Can someone explain to me how it works? I do understand that a popular vote is an indirect vote. You don’t vote to select the president but rather vote to select an elector to select a president. But I’m not sure how that particular elector know what I (and other state residents) want. For instance, I live in California whose ballot ended at 8 pm. Say, I cast my vote at 7:59 pm then how does my elector knows what I wanted when it’s that late? Please help. Thanks!
